These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Moore Business Management, Inc., a Utah corporation operating through its pending DBAs Radical Resilience and The Moore Universe ("we," "us," "our," or "Company"), governing your access to and use of the website located at www.mariahtylermoore.com (the "Website") and all related services, content, products, workshops, speaking engagements, and methodologies offered through the Website (collectively, the "Services").

BY ACCESSING OR USING OUR WEBSITE AND SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR WEBSITE OR SERVICES.

1. Intellectual Property Rights

1.1 Ownership

All content on this Website and all materials provided as part of our Services are the exclusive intellectual property of Mariah Tyler Moore and Moore Business Management, Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws. This includes but is not limited to:

  • All text, graphics, logos, images, audio, and video content
  • The "Radical Resilience" methodology and all associated frameworks, tools, and processes
  • The "Moore Universe" brand and all related content
  • All materials produced by Mariah Tyler Moore
  • All workshop materials, presentation slides, handouts, and templates
  • Published and unpublished book content and excerpts
  • Training curricula and educational materials
  • Website design, layout, and functionality

1.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business purposes only. This license does not include the right to:

  • Reproduce, distribute, or publicly display our content without prior written permission
  • Modify, adapt, or create derivative works based on our intellectual property
  • Use our content for commercial purposes without a separate licensing agreement
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Use any data mining, robots, or similar data gathering methods
  • Frame or mirror any part of the Website without our express written consent

1.3 User Content

By submitting any content to our Website (including testimonials, comments, or feedback), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and distribute such content for our business purposes.

2. Terms of Sale for Services

2.1 Scope of Services

Workshops and Corporate Training

Our workshops and corporate training services include:

  • Delivery of the agreed-upon training program based on the Radical Resilience methodology
  • Provision of standard workshop materials and handouts for participants
  • Facilitation by experienced presenter
  • Post-workshop summary report (if included in the service agreement)

Unless specifically agreed in writing, services do NOT include:

  • Customization beyond standard program adaptation
  • Individual coaching or consultation outside of workshop hours
  • Ongoing support beyond the contracted service period
  • Travel and accommodation expenses (billed separately)
  • Recording rights or permission to reproduce workshop content

Speaking Engagements

Speaking engagement services include:

  • Delivery of the agreed-upon presentation or keynote
  • Standard presentation materials
  • Reasonable pre-event consultation to align content with event objectives
  • Q&A session (if specified in the agreement)

2.2 Payment Terms

 Invoicing and Payment

  • A 50% deposit is required upon booking confirmation for all services
  • Remaining balance is due 14 days prior to the event date
  • Payment methods accepted: Wire transfer, ACH, credit card, or company check
  • Late payments incur a 1.5% monthly interest charge or the maximum permitted by law
  • Client is responsible for all collection costs and attorneys' fees for overdue accounts

Additional Expenses

Travel expenses, accommodation, and other out-of-pocket expenses will be billed separately and must be pre-approved by the client. These may include:

  • Airfare (economy or business class as agreed)
  • Ground transportation
  • Hotel accommodation
  • Meals and incidentals
  • Material shipping costs

2.3 Cancellation and Refund Policy

 Cancellation by Client

  • More than 60 days before event: Full refund minus a $500 administrative fee
  • 30-59 days before event: 50% refund of total fee
  • 14-29 days before event: 25% refund of total fee
  • Less than 14 days before event: No refund; full payment required
  • Rescheduling requests are subject to availability and may incur additional fees

Cancellation by Company

We reserve the right to cancel services for:

  • Non-payment or breach of these Terms
  • Force majeure events (see Section 9)
  • Health or safety concerns
  • If cancellation is due to our inability to perform (excluding force majeure), we will refund all fees paid

Virtual Event Modifications

If an in-person event must be converted to virtual delivery due to circumstances beyond either party's control, fees may be adjusted by mutual agreement.

2.4 Intellectual Property of Delivered Materials

All materials provided during our Services remain the exclusive property of Mariah Tyler Moore and Moore Business Management, Inc. Clients receive a limited, non-exclusive license to use these materials solely for internal business purposes. This license specifically prohibits:

  • Reproduction or distribution outside the client organization
  • Modification or creation of derivative works
  • Commercial use or resale
  • Training of trainers or cascade training without separate licensing
  • Recording, streaming, or broadcasting without prior written permission

3. Website Use and Conduct

3.1 Acceptable Use

You agree to use our Website and Services only for lawful purposes and in accordance with these Terms. You specifically agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon our or any third party's intellectual property rights
  • Transmit any harmful, offensive, or unlawful content
  • Attempt to gain unauthorized access to any portion of the Website
  • Interfere with or disrupt the Website's operation

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR USE
  • BUSINESS INTERRUPTION
  • DAMAGE TO REPUTATION OR GOODWILL
  • ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5.3 Professional Services Disclaimer

Our Services, including the Radical Resilience methodology, are educational and informational in nature. They are not a substitute for professional medical, psychological, legal, financial, or other professional advice. We do not guarantee specific results from participation in our programs.

6. Indemnification

You agree to indemnify, defend, and hold harmless Mariah Tyler Moore, Moore Business Management, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Website or Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit to our Website
  • Your negligence or willful misconduct

7. Governing Law and Dispute Resolution

7.1 Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

7.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Utah, and you hereby consent to the personal jurisdiction and venue of such courts.

7.3 Dispute Resolution

Before initiating any legal proceeding, you agree to attempt to resolve any dispute through good faith negotiation. If the dispute cannot be resolved within 30 days, either party may proceed with formal legal action.

8. Termination

8.1 Termination by Company

We reserve the right to terminate or suspend your access to our Website and Services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Violation of applicable laws
  • Conduct that we determine is harmful to our business or other users
  • Extended periods of inactivity
  • Request by law enforcement or government agencies

8.2 Effect of Termination

Upon termination:

  • Your right to use the Website and Services immediately ceases
  • We may delete your account and associated data
  • All provisions of these Terms that should survive termination shall remain in effect
  • Any outstanding payment obligations remain due

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Moore Business Management, Inc. regarding the Website and Services.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

10.4 Assignment
